The TCCA Constitution 

1.0 NAME

The name of the Club shall be
Transformers Collectors Club Australia (TCCA)
___________________________________________________________

and herein referred to as the “Club”.

2.0 DEFINITIONS

AGM means the Annual General Meeting of the Club.

Executive shall have the meaning given to it in clause 7.0.

Committee Member means the members of the Committee.

Paid (General) members means members of TCCA as approved by President or VP

GM means a General Meeting of the Club.

Member shall have the meaning given to it in clause 5.1.

SR means State Representative shall have the meaning given to it in clause 7.3

TCCA FaceBook Administration team shall have the meaning given to it in
clause 4.0

VP(CC) means the Vice-President 3.0

3.0 AIMS AND OBJECTIVES

3.1 The aims and objectives of the Club shall be to:
3.1.1 Unite like-minded Transformer enthusiasts residing in
Australia.
3.1.2 Provide all members with a safe and fun environment to
discuss aspects of Transformers and other related topics.
3.1.3 Provide all members with a safe environment to partake in
Buying, Selling or Trading Transformer related items.
3.1.4 Provide social events, swap meets and attend conventions.
3.1.5 Grow membership numbers
3.1.6 Promote TCCA to a wider audience
4.0 TCCA FACEBOOK ADMINISTRATION TEAM

4.1 The TCCA FaceBook Administration team shall comprise of
4.1.1 President
4.1.2 Vice President
4.1.3 And one other FaceBook Administrator as voted by Club
4.1.4 Administration team have the right to add/remove members of the Facebook group on thier discretion regardless of Members position in the Club

5.0 MEMBERSHIP

5.1 Membership to the Club is open to scrutiny by the TCCA Facebook Administration team..
5.1.1 Paid Membership is only allowed to Australian Residents

6.0 MEMBERSHIP FEE

6.1 The membership fee of the Club shall be a minimum of $5.00.
6.2 The membership fee will be paid by Club members annually.
6.3 The membership fee will run between 1st July to 30th June.
6.4 Membership Fee Refunds will only be given up until Members have
received thier Membership Pack of Choice. Once Membership
Merchandise are received no refunds will be given

7.0 EXECUTIVE

7.1 The Club shall have no less than four (4) Executive Members as voted by Paid (general) members, (unless an Executive member has multiple roles.) No Executive member may have more than 2 roles.
7.2 These members shall be:

7.1.1 President
6.1.2 Vice President
6.1.3 Secretary
7.1.4 Treasurer

7.3 In addition to the minimum 4 Executive Members, each State or
Territory shall provide 1 representative to attend GMs, voice
issues affecting their state, and attend local conferences or
conventions whenever possible.

8.0 POWERS AND DUTIES OF THE EXECUTIVE

8.1 The Executive of the Club shall:

8.1.1 Act in accordance with the aims and objectives of the Club.
8.1.2 At all times be subject to the decisions of any GM of the Club.
8.1.3 Have the power to make regulations necessary to put into effect this
Constitution.
8.1.4 Have the power to make or alter policy decisions which shall be binding
unless altered or reversed by a GM of the Club.
8.1.5 Have the power to conduct activities in the name of the Club and shall be
responsible for arranging all the activities of the Club.
8.1.6 Have the power to fill casual vacancies created during its term of office,
following the AGM, subject to their confirmation at the next GM of the Club.
8.1.7 Be responsible for keeping records of all the Club’s proceedings.
8.1.7 Handle and keep records of all the Club’s finances.

8.2 The President of the Club shall:

8.2.1 In the absence of a resolution of a GM or a Committee Meeting, exercise.
the powers and duties of the Committee.
8.2.2 Convene and chair all meetings of the Club.
8.2.3 Represent the members of the Club in accordance with the aims and
objectives of the Club.
8.2.4 Have the casting vote at all meetings.
8.2.5 Have all decisions relating to the Club made by him/herself ratified at an
Executive Meeting.
9.0 ELECTION OF OFFICE BEARERS

9.1 Nominations For Positions will be called upon at the conclusion of the first membership renewal month (Nominations for positions will be called at least one (1) week before the AGM.)
9.2 All Committee positions will be vacated prior to the completion of the voting week. (All committee positions will be vacated at the election.)
each position shall be subject to the nomination/ election process.
9.3 Should a position be contested, an election shall occur.
9.4 Voting for elections will be conducted by Email only, Paid Members will be emailed to cast their vote. Only votes received by email will be counted
(Voting for elections will be conducted by either secret ballot or show of hands.)

9.5 The President shall be appointed electoral officer. Voting times, dates and specific requirements shall be discussed amongst the committee prior to the election process.

9.6 The President will ratify the election results.
9.7 In the event of a position remaining vacant after an AGM, the Executive will have the power to fill those vacancies at an Executive Meeting, subject to ratification by a GM.

10.0 FINANCES

10.1 All monies acquired or raised by the Club shall be deposited into a bank
account at Bendigo (XXXXXXXXXXXXXXXXXXXXXXXXXXXX) Bank
10.2 The signatories of the Club’s bank account shall be:

10.2.1 At least two (2) Executive Members; and
10.2.2 The President

10.3 The financial period of the Club ends on 31st June each year.
10.4 Proper financial records shall be kept and maintained showing correctly the financial affairs of the Club.
10.5 Prior to purchase or sale of equipment the VP(CC) & the President must be informed in writing by the Club and their approval granted.
10.6 All financial transactions must be done through the Club’s bank And PayPal account and shall only be conducted in the name of the Club.
10.7 The income and property of the Club however derived shall be used and applied solely in the promotion and exercise of the Club objectives.

11.0 EXECUTIVE MEETINGS

11.1 Executive Meetings should be held as required by the Executive to
discharge their powers and duties in accordance with clause 8.1.
11.2 Proxies are not permitted.
11.3 Quorum is a majority of the Executive.

12.0 GENERAL MEETINGS

12.1 GMs should be held as required by the Club, at the beginning of the next calendar month
12.2 Only current financial members are eligible to vote.
12.3 Proxies may be admitted.
12.4 A GM of the Club shall abide by the standing orders approved by the GM.
12.5 Quorum shall be 10% of total voting members.
12.6 The Club shall make rules concerning the calling and the issue of notice of all GMs to be held, and the procedure to be adopted at all such meetings.
12.7 Due to club members locations all meeting will be held online in the
committee lounge.
12.7.1 Because of these restrictions only Committee Members will
participate in General Meetings.
12.7.2 Meeting transcripts are available to club members upon request
12.7.3 committee members have 24 hours from Meeting opening to
comment and put forward thier comments/issues/requests before
meetings closure.
13.0 ANNUAL GENERAL MEETINGS

13.1 For clarity, clause 12.0 is effective on AGMs.
13.2 The AGM shall be held after the end of the Club’s financial year and must
elect Executive Members for the following term of office.
13.3 The Executive shall set a date, time and venue for the AGM.
13.4 The VP(CC) and the President must be advised of the AGM details at least
one (1) week prior to the meeting.
13.5 The purpose of the AGM shall be:
13.5.1 To receive the annual reports from each Executive Committee Member.
13.5.2 To elect or ratify the election of a new Club Executive Committee as.
specified under Section 7.0.
13.5.3 To issue the Club’s financial records or audited books for the past twelve
(12) months or since the last AGM.
13.5.4 To discuss any business duly brought before the meeting.

13.6 Proxies are not permitted at AGMs.

14.0 TERMINATION OF MEMBERSHIP TO THE CLUB

14.1 A person will cease to hold membership of the Club:
14.1.1 By a resolution passed by Club Committee (Facebook Admin) on the
grounds that the
-person is guilty of conduct detrimental to the interests of the Club,
consistently breaks Club Constitutional Rules (TCCA Posting rules);
-Acts in a manner unfitting of a club member,
-Acts against the Club Anti Bullying Policy,
-Acts in a Sexual or Racial way against members or thier families,
or
14.1.2 If the person resigns from the Club; or
14.1.3 If the person does not renew their membership on an annual basis.
14.1.4 Removal from the TCCA Facebook group does not remove you from the club as a paid member

15.0 TERMINATION OF THE TERMS OF THE EXECUTIVE MEMBERS

15.1 An Executive Member will cease to hold their position:

15.1.1 By a resolution passed by a two-thirds (2/3) majority at a GM; or
15.1.2 If they resign from the Club; or
15.1.3. Upon the appointment of a new Executive in accordance with clause
13.1

16.0 INTERPRETATION OF THIS CONSTITUTION

16.1 The interpretation of this Constitution shall be the responsibility of the President, VP, Secretary, & Facebook Admin member.
16.2 Where this Constitution is silent, the Executive shall act in what it considers to be the best interest of the Club, in accordance with the aims and objects of the Club. Such action will be subject to confirmation by the next GM.

17.0 ALTERATION OF THIS CONSTITUTION

17.1 To be valid a Constitutional amendment, the amendment must be
approved:
17.1.1 By resolution of at least two-thirds (2/3) majority at an AGM and/or GM of
the Club.

18.0 ROLE OF THE CLUB FACEBOOK GROUP

18.1.1 The Club Facebook Sales and Discussion Group will act as
the primary location for all discussions between TCCA Paid
and social Members.
18.1.2 Social and Paid Member Approval and removal from the group is the
responsibility of Group Administrators and not Committee
Members.
18.1.3 Club paid members removed from the Facebook groups will
continue club correspondence via email unless they resign from
the club.
19.0 RUNNING OF CLUB DONATION DRIVES AND GIVEAWAYS

19.1.1 Organisation of Club Giveaways will be discussed by club
committee.
19.1.2 Office Bearer of President will Issue Ticket numbers for entrants,
run winner selection process and Prize selection process thus
excluding office bearer from participating.
19.1.3 Club Committee will determine giveaway Deadlines, drawing times
dates and specific requirements of each donation drive.
20.0 CLUB MEMBERS ATTENDING EVENTS

20.1 Club members attend conventions and events to represent the club
first and foremost.
20.1.2 Table/booths at Events must have promotional material for the club
at all times.
20.1.3 Sales by Host members is permitted from the club table during
events as long as position of advertising materials isn’t diminished
and,
A small donation is made to the club as a thank you.
20.1.4 the club table must be attended by one (1) member at all times.
Event attendee’s have the opitunuity to explorer event space prior
and post door ps opening to the public. If a table/booth host wants
to leave the area they must ensure remaining host is aware of thier
intentions and the time period they will be absent.
21.0 ENACTMENT

This Constitution shall take effect and be deemed enacted as from the

06th Day of the 8th Month 2015 Year.
01st Day of the 1st Month in the year 2016
